Terms of Service

To access certain features of the Platform, you must create an account. When you create an account, you agree to provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

You are solely responsible for maintaining the security of your account and password. ThreeDeee cannot and will not be liable for any loss or damage resulting from your failure to comply with this security obligation. You must notify us immediately of any unauthorized use of your account.

We reserve the right to terminate or suspend your account at our sole discretion, without notice, for conduct that we believe violates these Terms or is harmful to other users of the Platform, us, or third parties, or for any other reason.

You may create and maintain only one account on the Platform. Multiple accounts owned by the same individual or entity may be removed without notice.

When using the Platform, you agree to:

• Comply with all applicable laws and regulations
• Respect the intellectual property rights of others
• Use the Platform in a manner consistent with its intended purpose
• Maintain appropriate conduct when interacting with other users
• Provide accurate information about your content and services

You may not use the Platform to:

• Violate any applicable laws or regulations
• Infringe upon the intellectual property rights of others
• Upload or distribute content that is illegal, harmful, threatening, abusive, or otherwise objectionable
• Impersonate any person or entity or falsely state your affiliation with a person or entity
• Engage in any activity that disrupts or interferes with the Platform
• Attempt to gain unauthorized access to other users' accounts or any part of the Platform
• Use the Platform to distribute malware, viruses, or other malicious code
• Scrape, data-mine, or otherwise extract data from the Platform without permission
• Use the Platform to generate content that promotes hate speech, violence, or discrimination
• Sell or transfer your account to another person or entity

All Content uploaded or created on the Platform must comply with our Content Guidelines, which are incorporated by reference into these Terms. We reserve the right to remove any Content that violates these guidelines or otherwise appears to be inappropriate.

We have the right, but not the obligation, to monitor the content and activity on the Platform. We may remove or refuse to display content that we believe violates these Terms or may harm us, our users, or third parties. We may take appropriate legal action for any illegal or unauthorized use of the Platform.

The Platform provides AI model generation services that allow Users to create 3D models based on text prompts, images, or other inputs. These services consume Credits and are subject to usage limitations as specified on our pricing page.

Subject to your compliance with these Terms, you own the specific outputs (the 3D models) generated for you through our AI generation services. However, ThreeDeee retains ownership of the underlying AI technology, algorithms, and systems used to generate these models.

You retain ownership of the text prompts, reference images, or other inputs you provide for AI generation. However, you grant ThreeDeee a non-exclusive, worldwide, royalty-free license to use these inputs to provide and improve our services. We may use anonymized prompts and generation data to train and improve our AI systems.

You may not use our AI generation services to:

• Create content that infringes on the intellectual property rights of others
• Generate models that depict illegal activities or content
• Create models that could be harmful, offensive, or discriminatory
• Generate content that mimics the distinctive style of a specific artist or creator without permission
• Attempt to reverse-engineer our AI systems

While we strive to provide high-quality AI generation services, we do not guarantee that AI-generated models will meet your specific requirements or expectations. The quality and accuracy of generated models may vary based on the inputs provided and the capabilities of our current AI systems.

You retain all ownership rights to any Content you upload to the Platform. However, by uploading Content, you grant ThreeDeee a non-exclusive, worldwide, royalty-free license to use, reproduce, adapt, publish, translate, and distribute your Content in connection with providing and promoting the Platform.

All Content provided by ThreeDeee, including but not limited to the Platform's design, interface, graphics, and underlying technology, is owned by ThreeDeee or its licensors and is protected by copyright, trademark, and other intellectual property laws.

By uploading or creating Content on the Platform, you represent and warrant that (a) you own or have obtained all necessary rights and permissions to use and authorize us to use your Content, (b) your Content does not infringe on the intellectual property rights or other rights of any third party, and (c) your Content complies with these Terms and all applicable laws.

We reserve the right to remove any Content from the Platform at our sole discretion, including Content that we believe violates these Terms, infringes on intellectual property rights, or otherwise poses a risk to the Platform or its users.

We respect the intellectual property rights of others and expect our users to do the same. If you believe that your work has been copied in a way that constitutes copyright infringement, please follow our DMCA takedown procedure as described in our Copyright Policy.

ThreeDeee operates a virtual credit system. Credits can be purchased with real currency or earned through various activities on the Platform. Credits may be used to access certain features, generate AI models, or purchase Content from other users.

When you purchase Credits:

• All purchases are final and non-refundable, except as required by applicable law
• Prices are listed in your local currency where available and do not include taxes
• You agree to pay all applicable taxes or charges imposed by any government entity in connection with your purchases
• We reserve the right to change the pricing of Credits at any time

Credits do not expire as long as you maintain an active account. However, if your account is inactive for more than 12 consecutive months, we reserve the right to expire your Credits after providing notice to you.

If you sell Content on the Platform, you will receive payment in the form of Credits or real currency, depending on your seller settings. Payouts are subject to our Seller Terms, which outline payment schedules, fees, and minimum payout thresholds.

We use third-party payment processors to handle credit/debit card transactions. These processors may have their own terms of service and privacy policies, and we are not responsible for their actions or omissions.

You are responsible for all taxes applicable to your transactions on the Platform. If you are a seller, you may be required to provide tax information for tax reporting purposes. We may be required to collect and remit taxes on your behalf in certain jurisdictions.

The Platform offers several license types for purchased Content:

Each license type has specific terms regarding use, modification rights, distribution limits, and attribution requirements. The full license terms are provided at the time of purchase. You agree to abide by the terms of the specific license for each piece of Content you purchase.

Unless explicitly permitted by the applicable license, you may not:

• Redistribute, sell, or sublicense the Content
• Use the Content in a way that allows others to extract or access it as a standalone file
• Use the Content in products where the Content constitutes a significant portion of the value
• Use the Content in any way that is defamatory, obscene, or unlawful
• Claim copyright or trademark rights in the Content

As a Creator selling Content on the Platform, you can choose which license types to offer for your Content. You are responsible for understanding the terms of each license type and ensuring your Content is appropriate for the license types you select.

ThreeDeee offers various subscription plans that provide access to premium features, monthly Credit allowances, and other benefits. The specific features, limitations, and pricing of each subscription plan are described on our pricing page.

Subscriptions are billed on a recurring basis (monthly or annually) until canceled. By purchasing a subscription, you authorize us to charge your payment method on a recurring basis. If your payment cannot be processed, we may suspend or terminate your subscription.

You may upgrade, downgrade, or cancel your subscription at any time through your account settings. Changes to your subscription will take effect at the end of your current billing cycle, unless otherwise specified.

Subscription fees are non-refundable, except as required by applicable law. If you cancel your subscription, you will continue to have access to subscription benefits until the end of your current billing cycle.

We reserve the right to change subscription prices at any time. If we change the price of your subscription, we will notify you in advance. If you do not cancel your subscription before the price change takes effect, you will be charged the new price.

We may offer trial periods for subscriptions. Trial periods automatically convert to paid subscriptions unless canceled before the trial period ends. You may cancel a trial at any time during the trial period.

These Terms shall be governed by and construed in accordance with the laws of the Province of Alberta, Canada, without regard to its conflict of law provisions.

Any dispute arising from or relating to these Terms or your use of the Platform shall first be resolved through informal negotiation. If the dispute cannot be resolved through negotiation, it shall be resolved through binding arbitration in accordance with the rules of the Canadian Commercial Arbitration Centre.

The arbitration shall be conducted in Edmonton, Alberta, unless you and ThreeDeee agree otherwise. The arbitration shall be conducted in English by a single arbitrator selected in accordance with the rules of the Canadian Commercial Arbitration Centre. The arbitrator's award shall be binding and may be entered as a judgment in any court of competent jurisdiction.

YOU AND THREEDEEE AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. Further, unless both you and ThreeDeee agree otherwise, the arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of a representative or class proceeding.

Notwithstanding the foregoing, you may bring an individual action in the small claims court of your jurisdiction if the claim qualifies for small claims jurisdiction.
